• 4.1 SBLC (MT760): Irrevogável, Transferível, Divisível, 100% Cash-backed, Banco Top 50, ICC ISP98.
Validade 365+1 dias. Valor: 01 mês de operação. / (Irrevocable, Transferable, Divisible, 100% Cash
backed, Top 50 Bank, ICC ISP98. Validity 365+1 days. Amount: 01 month of operation).
• 4.2 PAGAMENTO / PAYMENT (MT103): Em até 24h após apresentação do BL e documentos SGS no
porto de embarque. / (Payment via MT103 within 24h after presentation of BL and SGS documents
at the loading port.)
• 4.3 Outras modalidades de garantia (SBLC Não-Transferível ou Cash Agreement) serão analisadas
caso a caso, sujeitas a aprovação prévia do comitê de compliance e revisão de preço." / (Other
guarantee modalities such as Non-Transferable SBLC or Cash Agreement will be analyzed on a

Volume e Preço: Referentes a contrato
de 12 meses e SPOT.
Volume and Price: For a 12-month contract AND
SPOT.
Embalagem: Sacos de 50 kg. Packaging: 50 kg bags.
Portos de Embarque: Santos,
Paranaguá, São Francisco do Sul (o
vendedor reserva-se o direito de alterar
o porto).
Ports of Loading: Santos, Paranaguá, São
Francisco do Sul (the seller reserves the right to
change the port).
Inspeção: Realizada pelo vendedor via
SGS ou equivalente às suas custas.
Certificados finais e vinculativos.
Inspection: Performed by seller via SGS or
equivalent at its own cost. Certificates are final
and binding.
Seguro: Pago pelo vendedor, cobrindo
110% do valor da fatura até o porto de
destino.

5 - PROCEDIMENTOS PARA VENDA / PROCEDURES FOR SALE.
1. O COMPRADOR emite uma CARTA DE INTENÇÕES (LOI) + CIS KYC. / BUYER issues a LETTER OF INTENT (LOI)
+ CIS KYC.
2. (VENDEDOR) emite uma OFERTA CORPORATIVA (SCO). / (SELLER) issues a SOFT CORPORATE OFFER (SCO).
3. O COMPRADOR deverá emitir uma ORDEM DE COMPRA CORPORATIVA IRREVOGÁVEL (ICPO) e um EXTRATO
BANCÁRIO DE PRONTO, DISPOSTO E CAPAZ (RWA) ao VENDEDOR. / BUYER shall issue an IRREVOCABLE
CORPORATE PURCHASE ORDER (ICPO) and a BANK PROOF OF FUNDS (RWA) - READY, WILLING, AND ABLE - to
the SELLER.
4. (O VENDEDOR) deve emitir uma OFERTA CORPORATIVA COMPLETA (FCO) ao COMPRADOR para aceitação,
assinatura e devolução, juntamente com o DRAFT SBLC da Garantia Bancária ao VENDEDOR. / (THE SELLER) must
issue a FULL CORPORATE OFFER (FCO) to the BUYER for acceptance, signature, and return, along with the Bank
Guarantee SBLC DRAFT to the SELLER.
5. (O VENDEDOR) emite uma DRAFT DO CONTRATO DE VENDA (SPA) que incorporará todos os termos e condições.
/ (THE SELLER) issues a SALE AND PURCHASE AGREEMENT (SPA) DRAFT which will incorporate all terms and
conditions.
6. O COMPRADOR assina e carimba cada página do CONTRATO DE VENDA (SPA) e o devolve à (VENDEDOR),
acompanhado da GARANTIA BANCÁRIA SBLC, via SWIFT MT-760. / BUYER signs and stamps each page of the SALE
AND PURCHASE AGREEMENT (SPA) and returns it to (SELLER), accompanied by the SBLC BANK GUARANTEE via
SWIFT MT-760.
7. A PROVA DE PRODUTO (POP) de banco para banco será enviado em até 10 dias úteis bancários após a
confirmação da SBLC via SWIFT MT-760 pelo BANCO DO VENDEDOR. / Bank-to-bank PROOF OF PRODUCT (POP)
will be sent within 10 business banking days after confirmation of the SBLC via SWIFT MT-760 by the SELLER'S
BANK.
8. (VENDEDOR) emite carta convite para verificação e inspeção do açúcar ICUMSA 45 no Terminal do Porto de
Origem. A carta convite deve indicar a hora, a data, o local e a quantidade a ser inspecionada. Se tudo estiver correto,
(VENDEDOR) emite a fatura proforma (COMMERCIAL INVOICE) que é enviada ao COMPRADOR. / (SELLER) issues
an invitation letter for verification and inspection of the ICUMSA 45 sugar at the Port of Origin Terminal. The invitation
letter must indicate the time, date, location, and quantity to be inspected. If everything is correct, (SELLER) issues
the proforma invoice (COMMERCIAL INVOICE) which is sent to the BUYER.
9. O BANCO DO VENDEDOR emite uma GARANTIA DE EXECUÇÃO (2%), no prazo de dez (10) dias úteis após a
confirmação pela SWIFT MT-760 da CARTA DE CRÉDITO (SBLC) enviada ao BANCO DO COMPRADOR. / SELLER'S
BANK issues a PERFORMANCE BOND (2%) within ten (10) business days after confirmation by SWIFT MT-760 of the
LETTER OF CREDIT (SBLC) sent to the BUYER'S BANK.
6 - NOTAS IMPORTANTES - IMPORTANT NOTES.
6.1- Nota de Mercado / Market Advisory:
Conforme diretrizes operacionais do fornecedor, todas as condições comerciais incluindo preços,
volumes e garantias estão sujeitas a updates sem aviso prévio, refletindo a volatilidade do mercado e a
disponibilidade de estoque até a formalização contratual. Devido à conjuntura global, os valores finais
CIF serão validados com base nas flutuações vigentes dos custos de frete e logística.
In accordance with the supplier's guidelines, all commercial terms including pricing, volumes, and bank
guarantees are subject to adjustment without prior notice, reflecting market volatility and stock
availability until the final contract execution. Due to current global conditions, CIF quotes will be validated
based on prevailing fluctuations in freight and logistics costs.
6.2- Compliance:
Todas as informações recebidas serão verificadas antecipadamente quanto à conformidade. A
submissão de documentos falsos ou não autorizados será reportada à Câmara de Comércio Internacional
(ICC) para as devidas ações judiciais.
All information received will be pre-verified for compliance. The submission of false or unauthorized
documents will be reported to the International Chamber of Commerce (ICC) for legal action.
